Nokia’s M&A Powerplay

In the ongoing soap opera “As the Nortel Turns”, yesterday was definitely intriguing as Nokia Siemens’ North American president Sue Spradley took to the stage to talk the talk about why Nokia Siemens should be seen as an upstanding suitor as it strives to complete the $650-million acquisition of Nortel’s CDMA wireless business and the LTE R&D unit.

First, Spradley said Nokia could raise its “stalking horse” bid if it is “a requirement in order to remain in the bid process. And we’ll do so,” she said during a speech in Toronto.

Spradley said having to make a higher bid to purchase Nortel’s CDMA business will be worth it because it would make Nokia Siemens the #2 wireless network supplier in North America, head of Ericsson.

The second part of Spradley’s performance yesterday was her assertion that Nokia could buy some of Nortel’s other assets as they are put on block.

“Right now our focus is on the CDMA and LTE (wireless networks) assets, we want to get that process through the gate. If other assets come on to the market, we will look at each one for their value and if there is something there, we will do a deal,” she said. “But, it needs to have the right value for us and make sense given our customers,”

Nokia’s dancing as fast as it can as it lobbies publicly to win support for its deal. At the same time, Spradley’s statement yesterday was a clear message to other potential bidders that Nokia is serious about getting the Nortel assets it wants.

Things, my friends, are getting a lot more interesting.

    Its great to be #2 in a market as there is an advantage, however the market is dynamic and changing. The "network supplier" business model has peaked and changing to "managed service supplier". That's the problem with these ideas, they look back to "yesderday's" value and not the future value..........

    Nokia Siemens Networks had a grim second quarter, with its sales falling at a faster rate than in previous financial periods, and faster than the overall market.

    The vendor still expects the overall market for telecom infrastructure and associated services to decline by about 10 percent (in euros) this year, but its revenues dipped by a whopping 21.3 percent year-on-year during the second quarter to almost €3.2 billion ($4.5 billion). (See table below.)

    The factory protest is the second of its kind in recent days.

    Workers at collapsed French car parts maker New Fabris made similar threats on Sunday, demanding they receive payouts by July 31 from auto groups Renault SA and PSA Peugeot Citroen to compensate for their lost jobs.

    it is going back and forth between Avaya and SEN. Avaya got pissed as they think they were paying too much.

    Avaya is stealing the channels hoping to affect revenues so they can buy it at a cheaper price.

    "We'll raise our bid" - Spradley appears to be somewhat bullish on Nortel, and thats certainly news coming from anyone.

    What sayeth the noble Mikester thus far - "We need bonuses to get our heads together and remind you that we are the recognized leader. There are plenty more lightbulbs to remove from our countless Centers of Excellence before we vacate the Centers, so if you'll excuse us..."

    Alas, I fear Nortel karma is already mentoring another badass alpha type to pinch Sue on the cheek and put her in her place.

    Sure enough:

    Wholesale vendors in the capital report that demand for Nokia handsets has fallen by as much as half in the wake of calls to boycott Nokia Siemens Networks (NSN) for selling communications monitoring systems to Iran.

    There are signs that the boycott is spreading: consumers are shunning SMS messaging in protest at the perceived complicity with the regime by the state telecoms company, TCI. Iran's state-run broadcaster has been hit by a collapse in advertising as companies fear being blacklisted in a Facebook petition. There is also anecdotal evidence that people are moving money out of state banks and into private banks.


    The US (=Nortel/Zafirovski, NSN/Spradley) will ultimately be revealed as having "played both sides" in Iran - for oil profit.
